Compensation & Payment

Compensation 

The Ministry shall pay the EC  in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable (“Compensation”). The Ministry will make all payments in U.S. dollars and via check, ACH funds transfer, or credit card. 


Credit Card Payments

All credit card charges are facilitated through a third-party payment processing service [(e.g., PayPal, Inc.)] (“Payment Provider”). EC may replace its third-party payment processing services without notice to the Ministry. Charges shall only be made through the EC website. By making credit card charges, the Ministry agrees to be bound by PayPal’s terms of service (currently accessible at https://paypal.com/us/webapps/mpp/ua/legalhub-full) along with its Privacy Policy (accessible at https://paypall.com/myaccount/privacy/policyhub), or the terms and conditions and privacy policies of EC’s subsequent payment processors, and hereby consents and authorizes EC to delegate the authorizations and share the information the Ministry provides to EC with PayPal, Inc. or other payment processors to the extent required to provide the payment services to the Ministry. The Ministry is responsible for all charges incurred under the Ministry’s account, whether made by the Ministry or another person using its account. In the event the Ministry elects to make payments by credit card, the Ministry will be responsible for all credit card processing fees and any other related charges or fees that may be imposed as a result of making payments by credit card. Any sales, use or value added tax properly imposed by any jurisdiction in connection with the EC’s provision of the Services shall be the responsibility of the Ministry.


Expenses

The Ministry will be responsible for all out-of-pocket costs and expenses incurred by the EC in performing the Services. These expenditures include, but are not limited to, expenses related to travel and meetings (including but not limited to flights, lodging, meals, parking, and gas), printing and copying charges, and postal expenditures. EC will invoice the Ministry for such expenses and the Ministry will reimburse the EC promptly upon receipt of such invoice.
